Build Operate Transfer (BOT) is the dominant entry model for mid market and risk averse Global Capability Centre programs in India. A partner builds the entity, hires the team, runs operations for 24 to 36 months, then transfers to the parent at a pre agreed multiple. Risk is back loaded; speed and certainty are front loaded.
The three phases
A BOT program runs in clearly demarcated phases with separate governance.
- Build (months 0 to 6): partner incorporates, leases, hires the leadership team, sets up Information Technology and security, runs the first 25 to 50 hires.
- Operate (months 6 to 30): partner runs the captive at agreed Service Level Agreements and Key Performance Indicators. Parent governs through monthly Operating Committee and quarterly Steering Committee.
- Transfer (months 24 to 36): equity transfer at pre agreed valuation, leadership rebadging, knowledge handover, partner exit over 90 days.
Typical commercial structure
Three fee components, transparently broken out.
- Build fee: one time, USD 250,000 to 750,000 depending on scale and city.
- Operate fee: per Full Time Equivalent per month markup over true cost, typically 12 to 18 percent during operate phase.
- Transfer fee: pre agreed multiple of trailing 12 month markup, typically 1.5x to 2.5x.
Why parents pick BOT over Direct
BOT trades a transfer premium for risk transfer during the build and stabilise period. The parent never owns the entity through the highest risk 30 months.
Where BOT goes wrong
